This acquisition will be structured as a stock sale whereby the seller will pay off liabilities and retain the cash and receivables. The asking price is $2,500,000.00 plus fair market value of Inventory (Inventory includes warehouse and as of yet unbilled inventory on projects).
Plus seller’s portion of profit of unapproved change orders and claims (approximately $6.3 million as of November 2007).
